These terms and conditions outline the rules and regulations for the use of SUPER APPS DEVELOPMENT PTE. LTD. thereafter named « Viseon », and Viseon's Website and Services, located at viseon.ai, app.viseon.ai.

By accessing this website and using our services, we assume you accept these terms and conditions in full. Do not continue to use Viseon's website or services if you do not accept all of the terms and conditions stated on this page.

1. Definitions

- "Service" refers to the applications, software, products, and services provided by Viseon.

- "Product" refers to the software platform developed by Viseon, which includes but is not limited to product research features, analysis and restitution of data in real time from online marketplaces, insights and IA features.

- "User", "You", "Your" refers to the individual, company, or entity utilizing our Service.

- "We", "Our", "Ours", "Provider" refers to Viseon.

2. Intellectual Property Rights

Other than the content you own, under these Terms, Viseon and/or its licensors own all the intellectual property rights and materials contained in this Service. You are granted a limited license only for purposes of viewing and using the services provided.

In addition to the general rights, the following specific elements of the Service are expressly protected and are considered proprietary information of Viseon:

- Proprietary Algorithms and Data: All algorithms, methods, techniques, and underlying data used and developed by Viseon are confidential and proprietary to Viseon. These include but are not limited to machine learning models, processing techniques, and data analytics methods.

- Technological Framework: Any software, API, interface, or other technology provided as part of the Service, including updates or modifications thereof, are owned by Viseon and protected by copyright and other intellectual property laws.

- Database Rights: The compilation of information, data collections, and databases operated by Viseon, accessible through the Service, are the exclusive property of Viseon and protected by national and international intellectual property laws.

- Feature Names and Functionality: The names, configurations, and functionalities of features provided by the Service are trademarks or copyrighted content of Viseon and must not be copied, mimicked, or used without express written permission from Viseon.

- No Transfer of Ownership: Access to the Service, including any data, information, or materials provided through the Service, does not constitute a transfer of ownership. Users are granted a limited, revocable, non-exclusive license to access the Service for its intended purpose. No rights of ownership are conferred to the User, and all rights not expressly granted are reserved by Viseon.

Unauthorized use, copying, reproduction, modification, public display, republishing, downloading, posting, transmitting, or distributing any material or element from the Service without express written permission from Viseon is strictly prohibited and may lead to legal action.

3. Restrictions

You are specifically restricted from all of the following:

- Selling, sublicensing, and/or otherwise commercializing any Service material. This also includes illegally sharing your access to unregistered user or non-customer of the Service

- Using this Service in any way that is, or may be, damaging to this Service.

- Using this Service in any way that impacts user access to this Service.

4. Privacy & Confidentiality

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information and how your information is processed and secured. By using the Service, you agree to the processing of data as described in our Privacy Policy.

9. Limitation of Liability

If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.

12. Variation of Terms

Viseon is permitted to revise these terms at any time as it sees fit, and by using this Service you are expected to review such terms on a regular basis to ensure you understand all terms and conditions governing use of this Service.

13. Assignment

Viseon is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

14. Entire Agreement

These Terms, including any legal notices and disclaimers contained on this website, constitute the entire agreement between Viseon and you in relation to your use of this Service, and supersede all prior agreements and understandings.

15. Governing Law & Jurisdiction

These terms will be governed by and interpreted in accordance with the laws of the State of Singapore, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Singapore for the resolution of any disputes.

16. Termination

Both the user and the provider may terminate the use of the Service under the following conditions:

- Users may terminate their use of the Service at any time by ceasing all use of the Service and notifying Viseon of their decision to terminate.

- Viseon may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

The consequences of termination will include the deactivation or deletion of your Account and your forfeiture of any content in your Account.

17. Service Availability

Viseon strives to ensure the availability of the Service 24/7. However, there may be occasions when the Service will be interrupted for maintenance, upgrades, and emergency repairs or due to failure of telecommunications links and equipment that are beyond our control. Every reasonable step will be taken by us to minimize such disruption where it is within our reasonable control.

18. Changes to the Product

Viseon may make changes to the Product, including discontinuing certain features, at any time without notice. We make no guarantees that any specific features present will continue to be available.

19. Dispute Resolution

In the event of a dispute, parties will attempt to resolve the conflict informally by contacting us at support@viseon.ai. If the dispute is not resolved within a reasonable timeframe, the parties agree to submit to binding arbitration in the jurisdiction of Singapore.

21. Clarification of Business Relationships

Viseon provides a platform for discovering and analyzing products for resale; however, we are not responsible for the actions of our users concerning their businesses. We are not manufacturers, have no control over the quality of the products listed on our platform, and assume no responsibility for inaccuracies or defects in the products.
